Terms & Conditions

Last updated: 17 October 2026

Nexadly Technologies Private Limited operates CallVani, an AI-powered voice communication and business automation platform. CallVani remains the product brand; Nexadly is the operating company identified in these terms.

1. Service and account responsibilities

CallVani provides configurable AI agents, inbound and outbound calling tools, speech processing, call history, follow-ups and related integrations. Available features depend on your plan, provider readiness and configuration. A demo, preview or saved setting is not confirmation that a production call or business action will succeed.

You must have authority to open and manage the account and bind the business you represent. Keep account details accurate, protect credentials, assign appropriate team access and promptly report suspected misuse. You are responsible for the content, instructions, lists and activities you authorize through your workspace.

2. Calling, recording and consent

Before initiating calls or follow-ups, establish the permissions, notices, registrations and lawful basis required for the destination, purpose and technology used. Maintain evidence, respect do-not-call and suppression preferences, observe permitted calling times and promptly act on withdrawals. A previous enquiry, existing relationship, uploaded number or inbound call is not blanket authorization for all future promotional AI calls.

Provide the required identity and AI disclosures. Obtain recording consent from all participants where applicable and respect the separate requirements for live speech processing and retaining recordings. Do not enable recording merely because a setting allows it. Custom voices require appropriate speaker authorization and rights; natural-sounding delivery must not mislead people about who is speaking.

3. Telecom and country-specific requirements

For Indian commercial traffic, assess TRAI’s TCCCPR framework, applicable sender and telemarketer registration, consent and preference requirements, designated number resources and carrier conditions. Applicable rules include advance notification to the originating access provider of autodialer or robocall use and its purpose. Do not use an ordinary connection to evade commercial-call restrictions.

Other destinations may apply additional laws. US artificial-voice calling can require specific consent under the TCPA, including written consent for applicable marketing calls, alongside do-not-call and state recording rules. UK automated marketing calls require specific permission under applicable PECR rules. EEA uses may engage privacy, ePrivacy and AI-transparency requirements. These examples do not establish that every country or use case is supported; obtain advice for your actual activity.

4. AI limitations and human oversight

AI-generated speech, transcripts, summaries, classifications and answers may contain mistakes, omit context or produce unexpected statements. Test agents and review knowledge, language, destinations, permissions and action settings before enabling live activity. Use human review for consequential decisions and appropriate approval and handoff controls.

A proposed action, generated response or queued request is not proof that a payment, refund, booking, message or CRM update completed. Verify the responsible system’s result. CallVani is not an emergency calling service and should not be relied on for emergency response or as a substitute for qualified legal, medical or financial advice.

5. Subscriptions, usage and credits

Review the selected plan, included credits, usage rates, currency, applicable taxes or payment charges, total and renewal method before checkout. Usage is attributed to the workspace according to the applicable rate card. A credit balance represents service usage entitlement under the agreed terms; do not assume unused credits are transferable, redeemable for cash or subject to a particular expiry or rollover rule without an express agreement.

Renewal depends on the payment arrangement shown at checkout. The service supports recurring monthly Stripe subscriptions and manually renewed monthly Razorpay plan purchases; neither arrangement should be assumed for every purchase. Payment-provider confirmation is distinct from an attempted checkout. Sandbox activity is a simulation, not a transfer of money.

Refund eligibility, cancellation timing, unused-credit treatment and any proration must follow the final applicable commercial agreement and mandatory law. This legal review draft does not introduce a discretionary refund window or credit-expiry rule. Customer payment collections made through connected commerce tools are separate from fees payable for CallVani.

6. Third parties and service availability

Call quality, response timing, coverage and availability depend on networks, telephony carriers, speech and AI providers, infrastructure and the customer’s configuration. Provider outages, quotas, account restrictions, model changes or network conditions may interrupt a feature. We do not promise instant responses, uninterrupted availability or a fixed service level in this draft.

Connect only accounts you are authorized to use. Third-party terms, charges and data handling may apply. You are responsible for checking that the selected service, voice, language and integration are suitable for your business and legally permitted for the intended activity.

7. Content and intellectual property

You retain the rights you hold in your uploaded content and authorize the processing needed to provide the features you request, subject to the Privacy Policy and applicable agreement. You must have the necessary rights to business materials, contact data, recordings and voice samples. Do not submit material that infringes another person’s rights.

CallVani software, service materials and branding remain protected by applicable intellectual-property rights. Access to the service does not transfer ownership of those rights. Third-party content and models remain subject to their own rights. AI output may resemble other output and is not guaranteed to be unique, accurate or eligible for intellectual-property protection.

8. Suspension, cancellation and termination

Access or particular activities may be restricted or suspended where reasonably necessary to address unlawful use, fraud, security threats, unpaid charges, provider restrictions or a material breach of the applicable agreement. Urgent protective action may be needed before an investigation is complete. Where appropriate and lawful, the reason and available steps to resolve the issue should be communicated.

Stopping use, cancelling a subscription and requesting data deletion are different actions. Request cancellation through the available support route and obtain confirmation of the billing change. Suspension does not itself establish refund eligibility or erase data that must be retained. The agreed terms and mandatory rights govern the consequences of termination.

9. Liability, applicable rights and contact

AI limitations and dependencies should be considered when deciding how to use the service. Customers remain responsible for their unlawful instructions and unauthorized activities; Nexadly remains responsible for obligations that law places on it. Nothing in these terms excludes liability or consumer rights that cannot lawfully be excluded or restricted.

This draft does not specify a monetary liability cap, agreed dispute venue, arbitration arrangement or guaranteed service level. Those provisions and any additional commercial agreement require legal review before finalisation. No governing-law clause should be understood to remove mandatory protections that apply to the actual use.
